Florida Annual Report: Deadline, Cost and Late Fees

Short answer: every Florida LLC must file an annual report each year with the Florida Department of State to remain active. The filing window opens on January 1, and the report must be filed by May 1 to avoid a late fee. The state fee for an LLC is $138.75. After May 1, a $400 late fee applies, for a total of $538.75. An LLC that has not filed by the third Friday in September is administratively dissolved.

This guide explains each requirement in plain terms. It is general information, not legal or tax advice.

What is the Florida annual report?

The annual report is a short filing that confirms or updates the company’s information with the Division of Corporations. According to the Division:

  • It is required every year to maintain “active status.”
  • It is required whether or not any information has changed.
  • It is not a financial statement and does not report income.

The report lists the company’s principal office and mailing addresses, its registered agent and registered office, and the persons authorized to manage it. Information on the report becomes part of the public record.

When is the annual report due?

Reports may be filed beginning January 1 each year. To avoid the late fee, the report must be filed by May 1. For 2026, the Division of Corporations set the deadline at 11:59 PM Eastern Time on Friday, May 1. Reports paid by check must be postmarked on or before May 1 to avoid the late fee.

Owners should treat May 1 as a fixed deadline. There is no grace period before the late fee applies to an LLC.

How much does the annual report cost?

The Florida Department of State lists the following fees for limited liability companies:

  • Annual report: $138.75.
  • Annual report received after May 1: $538.75, which includes a $400 late fee.
  • Amended annual report: $50.00, for changes after the report has been filed.

Diler Services files the annual report for a flat $99 service fee plus the $138.75 state fee, $237.75 in total. After May 1, our fee is $149 plus $538.75 in state fees, $687.75 in total. The state fee is passed through without markup. See all fees on the services and pricing page.

What happens if the report is filed late?

A report filed after May 1 is still accepted, but the $400 late fee applies to profit corporations, LLCs, limited partnerships and limited liability limited partnerships. Nonprofit corporations are not subject to that late fee.

What happens if the report is never filed?

If the annual report is not filed by the third Friday of September, the Division of Corporations administratively dissolves or revokes the entity at the close of business on the fourth Friday of September. For 2026, the Division listed September 18 as the last day to pay by check and 5:00 PM Eastern on September 25 as the last day to pay by credit card.

An administratively dissolved company may be reinstated. Reinstatement requires a reinstatement application and payment of all associated fees at the time of submission, including the reinstatement fee and each year’s annual report fees due. Diler Services prepares reinstatements for a $299 service fee plus the state fees at cost. Details are available on the services page.

Can changes be made on the annual report?

Yes. The annual report allows a company to:

  • Add, remove or change managers, authorized members and their addresses.
  • Change the registered agent and registered office.
  • Change the principal office and mailing addresses.
  • Add or change the federal employer identification number.

The annual report cannot be used to change the company’s name. A name change requires an amendment. Diler Services files amendments for a $99 service fee plus the state fee at cost.

How can an owner stay on schedule?

A few practical habits keep a company in good standing:

  • Set a reminder for early January. Filing early removes the risk of the late fee.
  • Review the record before filing. Confirm addresses, managers and the registered agent.
  • Keep the registered agent current. The agent receives state notices. Our guide on what a Florida registered agent does explains the role.
  • Use a filing service if time is limited. Diler Services registered agent clients receive annual report reminders.
